Interim version — in effect while review by a licensed Texas attorney completes. Prepared with AI assistance; updates will be posted here. Questions: legal@tidbix.com

Version: 0.3 (interim) · Effective date: July 19, 2026 Provider: Tidbix LLC, a Texas limited liability company ("Tidbix," "we," "us") · Contact: legal@tidbix.com

These Terms are an interim version, in effect while review by a licensed Texas attorney is completed. They were prepared with AI assistance. A revised version may replace them; material changes will be announced as described in Section 17.

1. Acceptance and eligibility

1.1 Agreement. These Terms of Service (the "Terms") are a binding agreement between you and Tidbix governing your use of the Forage application and related services (the "Service"). You accept these Terms by clicking "I agree" (or an equivalent affirmative action) during onboarding or, when accounts launch, at account creation. A record of the date, time, version, and a digital fingerprint (hash) of the Terms you accepted is stored on your device — you can download a copy under Household → Privacy & your data; when accounts launch, we will also keep a server-side copy.

1.2 Eligibility. You must be at least 18 years old and reside in the United States to create an account or use the Service. The Service is not directed to children, and we do not permit users under 18.

1.3 Household information you enter about others. Forage lets you enter meal-planning information about members of your household, including adults and children (for example: a name or nickname, age, food allergies, and food dislikes). By entering information about another person you represent that: (a) for another adult, you have that adult's permission; and (b) for a child, you are that child's parent or legal guardian (or have the parent's or guardian's permission). Household members other than you are not users of the Service and cannot access it through your account; you are responsible for the accuracy of what you enter about them.

2. Definitions

  • "Household Content" — the information you enter or import into the Service: household member profiles, food allergies, dietary preferences, personalized food lists (including lists derived from third-party test results such as Viome), meal participation, plans, feedback, notes, and store information.
  • "Output" — meal plans, grocery lists, nutrition summaries, and other content the Service generates for you.
  • "Subscription" — a paid, auto-renewing plan described in the Subscription & Refund Policy.
  • 3. The Service; license to you

3.1 What Forage does. Forage turns your household's food preferences, restrictions, and personalized food lists into weekly meal plans and grocery lists. Some planning features use artificial intelligence (Section 10).

3.2 What Forage is not. Forage is a wellness and planning tool. It is not medical, nutritional, or dietetic advice, and it is not a substitute for a physician, registered dietitian, or allergist. See Sections 10 and 12.

3.3 Simulated and estimated information. Grocery prices, product availability, and store restock information shown in the Service are estimates or simulations and are labeled as such in the app; they are not offers, price guarantees, or statements about any retailer.

3.4 License to you. Subject to these Terms, Tidbix grants you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for your own household's non-commercial use.

    4. Accounts and security

4.1 Forage currently runs without accounts: your household data is stored in your browser, and leaves your device only transiently to generate your plans, as described in the Privacy Policy (§6). When account sign-in launches (an email sign-in link), you will be responsible for maintaining control of your email account and for all activity under your Forage account.

4.2 Notify us at legal@tidbix.com promptly of any unauthorized use of your account.

4.3 You agree to provide accurate account information and keep it current.

    5. Acceptable use

You will not: (a) use the Service unlawfully or to harm anyone; (b) probe, scrape, disrupt, reverse engineer, or circumvent security or technical limits of the Service (including rate limits on AI planning features); (c) resell, sublicense, or provide the Service to third parties as a service bureau; (d) enter information about any person without the authority described in Section 1.3; (e) use the Service to develop a competing dataset or model; or (f) misrepresent Output as professional medical or nutrition advice, or rely on it as such.

    6. Your content; our license to operate

6.1 You own your Household Content. Tidbix claims no ownership of it.

6.2 License to operate. You grant Tidbix a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display Household Content solely to provide, secure, and improve the Service for you and as described in the Privacy Policy. This includes transmitting limited, filtered portions of Household Content to our AI processor to generate your plans (Section 10).

6.3 No sale; no AI training without opt-in. Tidbix does not sell your personal data and does not use your Household Content to train artificial-intelligence models without your explicit opt-in consent, and our AI processor is contractually prohibited from training on it. No such opt-in program exists today; if one launches, participation will be optional, separate from these Terms, and declining will not limit the Service. We may create and use de-identified, aggregated data (for example, "how often households cook the most popular recipe") that does not identify you or any household member, and we disclose this in the Privacy Policy.

6.4 Export and deletion. You may export your Household Content and delete your account from within the Service. On account deletion we delete Household Content within 30 days, as described in the Privacy Policy. Today, export and delete controls live in the app under Household → Privacy & your data, and deletion of your on-device data is immediate.

    7. Payments and subscriptions

7.1 Forage is currently free while in early access — no paid Subscription is offered today. If paid Subscriptions launch, they will be billed through our payment processor (Stripe), and the price, billing cadence, renewal, cancellation, and refund terms will be stated in the Subscription & Refund Policy, which is part of these Terms. Commitments that will always hold: Subscriptions renew automatically until you cancel; you can cancel at any time, effective at the end of the current billing period; before you buy, we show you the full price and renewal cadence.

7.2 We may change Subscription prices with at least 30 days' advance notice; changes apply from your next renewal.

7.3 Taxes are your responsibility where applicable.

    8. Third-party services

The Service is built on third-party infrastructure and services (identified in the Privacy Policy), and Output may reference third-party sources (for example, USDA nutrition data or your Viome results). Tidbix is not responsible for third-party services, their content, or their terms. Your Viome (or similar) test results are governed by your agreement with that provider; you are responsible for having the right to import them.

    9. Intellectual property

9.1 The Service — including software, recipe library, the grounded nutrition-facts registry, ingredient data, design, and branding — is owned by Tidbix or its licensors and protected by intellectual-property laws. Except for the license in Section 3.4, no rights are granted.

9.2 Feedback. If you send us suggestions or feedback, you grant Tidbix a perpetual, irrevocable, royalty-free license to use it without restriction or compensation.

    10. AI features

10.1 What the AI does. Weekly plans and meal suggestions may be generated by a large language model operated by our AI processor (currently Anthropic). We send it a limited, filtered digest of your Household Content (never raw test images or exports); its suggestions are re-checked by our own software against your household's allergy, avoid, and dislike settings before you see them.

10.2 Limits — read this. AI-generated Output can be incomplete, outdated, or wrong. Output is not medical, nutritional, allergy, or dietetic advice. Our allergy and restriction guardrails are assistive tools, not a safety guarantee: recipes, ingredient formulations, and product labels change, and cross-contamination is outside our control. You must independently verify ingredients and product labels before purchasing or serving food — especially for allergies or medical conditions. Consult a qualified professional for medical or nutrition decisions.

10.3 No training. As stated in Section 6.3, your content is not used to train AI models.

    11. Privacy

Our Privacy Policy — and, for Washington and Nevada residents, our Consumer Health Data Privacy Policy — describes what we collect and how we handle it. Those policies are incorporated by reference. Where the Service asks for your consent to process health-related information (such as food lists derived from test results), that consent is collected separately in the app.

    12. Disclaimers of warranties

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIDBIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. TIDBIX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY MEMBER OF YOUR HOUSEHOLD. Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you.

    13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) TIDBIX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL; AND (b) TIDBIX'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNTS YOU PAID TIDBIX IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW (INCLUDING, WHERE APPLICABLE, LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE SUCH LIMITS ARE NOT PERMITTED). THE ALLOCATION OF RISK IN SECTIONS 12–13 IS A BASIS OF THE BARGAIN AND SURVIVES FAILURE OF ESSENTIAL PURPOSE OF ANY REMEDY.

    14. Indemnification

You will defend and indemnify Tidbix against third-party claims and resulting losses arising from: (a) your violation of these Terms; (b) your entry of information about another person without the authority described in Section 1.3; or (c) your misuse of the Service or Output. Tidbix will promptly notify you of any such claim and may participate with its own counsel at its own expense.

    15. Dispute resolution — arbitration agreement and class-action waiver

PLEASE READ — THIS AFFECTS YOUR LEGAL RIGHTS.

15.1 Informal resolution first. Before filing a claim, you and Tidbix agree to try to resolve the dispute informally: send a written notice describing the dispute to legal@tidbix.com (or, once accounts launch, we will notify you at your account email), and allow 60 days of good-faith discussion.

15.2 Binding arbitration. Except as stated in 15.3, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The seat of arbitration is Tarrant County, Texas; hearings may proceed by video, or in your home county if the AAA rules so provide. AAA fees will be allocated per the Consumer Arbitration Rules; Tidbix will pay filing fees that exceed the cost of filing in small-claims court.

15.3 Carve-outs. Either party may (a) bring an individual claim in small-claims court, and (b) seek injunctive relief in court for infringement or misuse of intellectual property or for unauthorized access to the Service.

15.4 Class-action and jury waiver. Disputes will be resolved only on an individual basis — no class, collective, consolidated, or representative proceeding — and each party waives trial by jury. If the class waiver is held unenforceable as to a claim, that claim (and only that claim) proceeds in court under Section 15.7.

15.5 Mass filings. If 25 or more similar arbitration demands are filed against Tidbix by coordinated counsel, the parties agree that the AAA's Mass Arbitration Supplementary Rules — including their Process Arbitrator and Global Mediation procedures — will govern, as administered by the AAA.

15.6 30-day opt-out. You may opt out of Sections 15.2–15.5 by emailing legal@tidbix.com within 30 days of first accepting these Terms, stating your name, an email address where we can confirm receipt, the approximate date you first accepted, and your intent to opt out. We will confirm by email; until accounts launch, keep our confirmation (and your consent receipt, downloadable in the app) as your record. Opting out does not affect the rest of the Terms.

15.7 Governing law and venue. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. For disputes not subject to arbitration, the exclusive venue is the state and federal courts located in Tarrant County, Texas, and the parties consent to their jurisdiction. Nothing in this section limits rights you have under consumer-protection laws of your state of residence that cannot be limited by contract.

    16. Term, suspension, and termination

16.1 These Terms apply while you use the Service.

16.2 You may stop using the Service and delete your account at any time from within the app.

16.3 We may suspend or terminate your access if you materially breach these Terms (with notice and, where practicable, a reasonable opportunity to cure), if required by law, or if we discontinue the Service (with at least 30 days' notice and a pro-rata refund of prepaid, unused Subscription fees).

16.4 Data on termination. After account deletion or termination, we delete Household Content within 30 days as described in the Privacy Policy, subject to backup-cycle and legal-retention exceptions stated there. Export your data first; Section 6.4 tools are available until deletion.

16.5 Survival. Sections 6.3 (no sale/no training commitment as to data already collected), 9, 12, 13, 14, 15, and 17–18 survive termination. Your indemnification obligations survive only for claims arising from events occurring before termination.

    17. Changes to the Terms

We may update these Terms. For material changes we will give at least 30 days' notice by email and in-app notice, and the change will not apply retroactively; for material changes we will ask you to affirmatively accept the new version. The current version and its effective date are always available in the app under About → Legal & your data. If you do not agree to a change, stop using the Service and delete your data before the change takes effect.

    18. General

Force majeure. Tidbix is not liable for delay or failure caused by events beyond its reasonable control. Assignment. You may not assign these Terms; Tidbix may assign them in connection with a merger, acquisition, or sale of assets, with notice to you. Severability. If a provision is unenforceable, the remainder stays in effect. No waiver. Failure to enforce a provision is not a waiver. Entire agreement. These Terms, the Subscription & Refund Policy, and the policies incorporated by reference are the entire agreement about the Service. Notices. We send notices to your account email; you send notices to legal@tidbix.com. Section headings are for convenience only.
